Thank you for visiting PRC-Saltillo’s web site (“Site”). These Terms of Use govern your access to and use of the Site and its functions and features, including creation and use of customer accounts and all offers, sales, purchases and rentals of products or services available through the Site. By accessing and using the Site, you agree to Terms of Use, as PRC-Saltillo may modify them from time to time.
Please review these Terms of Use, which govern your access to and use of the Site and your use of products and services made available through the Site, (collectively, “Use”). These Terms of Use, together with our Privacy Policy, and any additional terms applicable to particular products or services, explain the terms on which PRC-Saltillo provides access to the Site. Your Use constitutes your acceptance of and agreement to follow and be bound by these Terms of Use. PRC-Saltillo reserves the right to modify, alter, or update the Site, its policies, and these Terms of Use from time to time. By using or attempting to use the Site, you represent that you are a resident of the United States and are at least 18 years of age.
Certain features of the Site, including the PRC-Saltillo online store, may be provided through a third-party e-commerce platform and may require you to create or use an account. A registered customer account is limited to the PRC-Saltillo Store and is separate from any PRC-Saltillo account used for AAC Funding or web subscriptions, including Language Lab.
If you create an account through the Site, you are responsible for providing and maintaining accurate account information and for safeguarding your username and password. You are responsible for all activity that occurs using your account credentials.
You must notify PRC-Saltillo immediately of any known or suspected unauthorized use of your account or any breach of security, including loss, theft, or unauthorized disclosure of your login credentials. PRC-Saltillo is not responsible for any loss resulting from failure to maintain the security of your account credentials.
If you create or use an account on behalf of a business, clinic, facility, school, healthcare provider, or other organization, you represent and warrant that you are an authorized user with permission to establish and use the account, make purchases, receive account information, and otherwise act on behalf of that organization. You must register the account using a work-related email address. The account and its associated organizational purchase history will remain associated with the organization, regardless of changes in personnel. The organization is responsible for purchases and other activities conducted through the account by its authorized users.
PRC-Saltillo may, upon reasonable verification of an organization's request and the requesting individual's authority, update, restrict, or reassign authorized-user access to the organization’s account. Any such change in authorized-user access does not transfer ownership of the account or its associated organizational purchase history away from the organization.
Individual accounts are intended for personal use. An individual account provides access only to that individual’s own order history, order status, and account information; orders placed by other individuals will not be visible through the account.
PRC-Saltillo reserves the right to suspend, restrict, or terminate any account that violates these Terms of Use, that PRC-Saltillo reasonably believes has been compromised or used without authorization, or as otherwise necessary to protect the security and integrity of the Site and its users.
If you claim exemption from sales, use, or similar transaction taxes, you must provide PRC-Saltillo with a complete, accurate, and valid exemption certificate or other documentation required by the applicable taxing authority before completing your purchase. Tax-exempt status is subject to PRC-Saltillo’s review and approval and applies only to qualifying purchases made by the exempt organization. You are responsible for ensuring that the exemption remains valid and that purchases are made for exempt purposes. Unless and until PRC-Saltillo approves the exemption, PRC-Saltillo may collect all applicable taxes. If tax is collected on a purchase that you believe qualifies for exemption, you must request a refund from PRC-Saltillo and provide supporting documentation within the time permitted by applicable law. PRC-Saltillo may reject or revoke tax-exempt status if the documentation is incomplete, inaccurate, expired, or otherwise invalid, and you are responsible for any taxes, interest, penalties, or other amounts arising from your improper claim of exemption.
This section outlines the terms specific to the purchase of a speech generating device and accessories (“SGD” or “Device”) from PRC-Saltillo. All Device purchases are contingent on your acceptance of these terms and conditions. If you do not accept these terms, please return your Device to PRC-Saltillo within the terms of the PRC-Saltillo Return Policy. By completing a Device purchase with PRC-Saltillo, you agree to the following terms.
PRC-Saltillo Devices include pre-installed software that is essential for Device operation. This software is licensed, not sold, and is subject to the terms and conditions of the software provider’s End User License Agreement (EULA). PRC-Saltillo Devices utilize their own language software as well as software from various operating systems including the iOS operating system for the Via line of devices and the Windows operating system for Accent devices.
By purchasing a PRC-Saltillo Device, you agree to appoint PRC-Saltillo as your agent for the limited purpose of accepting these software terms and agreements on your behalf. During the setup and configuration process, PRC-Saltillo will act as your agent to electronically accept these software terms and agreements. Failure to appoint PRC-Saltillo as your agent for the acceptance of these terms and agreements prevents PRC-Saltillo from being able to configure and provide you with a PRC-Saltillo Device.
All Customers are required to review and accept the PRC-Saltillo End User License Agreement (https://www.prc-saltillo.com/eula).
In addition, all Customers who purchase a Via device are required to review and accept the Apple ID & Privacy Terms (https://www.apple.com/legal/privacy/data/en/apple-id/). All Customers who purchase an Accent device are required to review and accept the Microsoft Software License Terms for the Windows Operating System (https://www.microsoft.com/en-us/useterms/).
To ensure proper configuration, security, and support for the Via line of PRC-Saltillo Devices, the Device will be enrolled in a Mobile Device Management (MDM) system. This allows PRC-Saltillo to remotely manage software updates, security settings, and troubleshooting. By purchasing a Via device from PRC-Saltillo, you acknowledge and consent to the use of MDM as a condition of purchase.
You should be aware that while PRC-Saltillo can access some Device information via the PRC-Saltillo MDM, such as hardware information, OS version, installed apps, and security settings it does not have access to Device cameras, microphones, location data, files, or photos contained on Devices connected to the PRC-Saltillo MDM. Devices may be returned within forty-five (45) days of shipment in accordance with the PRC-Saltillo Return Policy. Any return beyond the return period is subject to PRC-Saltillo discretion.
All new Device purchases come with PRC-Saltillo’s High Five Device Warranty. This warranty provides unlimited phone and technical support and repairs for defects in materials and workmanship for five years from the date of shipment.
PRC-SALTILLO DOES NOT GUARANTEE, REPRESENT, OR WARRANT THAT YOUR USE OF THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, AND YOU AGREE THAT PRC-SALTILLO MAY REMOVE THE SITE FOR INDEFINITE PERIODS OF TIME OR CANCEL THE SITE AT ANY TIME, WITHOUT NOTICE TO YOU.
YOU EXPRESSLY AGREE THAT YOUR USE OF, OR INABILITY TO USE, THE SITE IS AT YOUR SOLE RISK. THE SITE AND SERVICES DELIVERED TO YOU THROUGH THE SITE ARE (EXCEPT AS EXPRESSLY STATED BY PRC-SALTILLO) PROVIDED "AS IS" AND "AS AVAILABLE" FOR YOUR USE, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, THE ABOVE EXCLUSION OF IMPLIED WARRANTIES MAY NOT APPLY TO YOU.
IN NO CASE SHALL PRC-Saltillo, ITS OWNERS, MANAGERS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF ANY OF THE SITE OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SITE, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SITE, EVEN IF ADVISED OF THEIR POSSIBILITY. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, PRC-SALTILLO'S LIABILITY SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW.
PRC-Saltillo SHALL USE REASONABLE EFFORTS TO PROTECT INFORMATION SUBMITTED BY YOU IN CONNECTION WITH THE SITE, BUT YOU AGREE THAT YOUR SUBMISSION OF SUCH INFORMATION IS AT YOUR SOLE RISK, AND PRC-Saltillo HEREBY, TO THE FULLEST EXTENT PERMITTED BY LAW, DISCLAIMS ANY AND ALL LIABILITY TO YOU FOR ANY LOSS OR LIABILITY RELATING TO SUCH INFORMATION IN ANY WAY. PRC-Saltillo DOES NOT REPRESENT OR GUARANTEE THAT THE SITE WILL BE FREE FROM LOSS, CORRUPTION, ATTACK, VIRUSES, INTERFERENCE, HACKING, OR OTHER SECURITY INTRUSION, AND PRC-Saltillo DISCLAIMS ANY LIABILITY RELATING THERETO.
You acknowledge that PRC-Saltillo has granted access to the Site relying upon the limitations of liability stated herein and that PRC-Saltillo would not have granted access in the absence of those limitations are an essential basis of the bargain between the parties.
BY USING THE SITE, YOU AGREE, TO THE EXTENT PERMITTED BY LAW, TO INDEMNIFY AND HOLD PRC-SALTILLO, ITS OWNERS, MANAGERS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, AND LICENSORS HARMLESS WITH RESPECT TO ANY CLAIMS ARISING OUT OF YOUR BREACH OF THIS AGREEMENT, YOUR USE OF THE SITE, OR ANY ACTION TAKEN BY PRC-SALTILLO IN GOOD FAITH AS PART OF ITS INVESTIGATION OF A SUSPECTED VIOLATION OF THIS AGREEMENT OR AS A RESULT OF ITS FINDING OR DECISION THAT A VIOLATION OF THIS AGREEMENT HAS OCCURRED. THIS MEANS THAT YOU CANNOT SUE OR RECOVER ANY DAMAGES FROM PRC-SALTILLO, ITS OWNERS, MANAGERS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, AND LICENSORS AS A RESULT OF ITS DECISION TO REMOVE OR REFUSE TO PROCESS ANY INFORMATION OR CONTENT, TO WARN YOU, TO SUSPEND OR TERMINATE YOUR ACCESS TO THE SITE, OR TO TAKE ANY OTHER ACTION DURING THE INVESTIGATION OF A SUSPECTED VIOLATION OR AS A RESULT OF PRC-SALTILLO’S CONCLUSION THAT A VIOLATION OF THIS AGREEMENT HAS OCCURRED. THIS WAIVER AND INDEMNITY PROVISION APPLIES TO ALL VIOLATIONS DESCRIBED IN OR CONTEMPLATED BY THIS AGREEMENT.
Certain content and services available via the Site may include materials from third parties. PRC-Saltillo may provide links to third-party websites as a convenience to you. You agree that PRC-Saltillo is not responsible for examining or evaluating the content or accuracy of (and PRC-Saltillo does not warrant and will not have any liability or responsibility for) any third-party materials or websites, or for any other materials, products, or services of third parties. You understand that PRC-Saltillo cannot and does not guarantee or warrant that files or software of any kind, or from any source, available for downloading through this Site, will be free of infection or viruses, worms, Trojan Horses or other code or defects that manifest contaminating or destructive properties. You agree that you will not use any third-party materials in a manner that would infringe or violate the rights of any other party and that PRC-Saltillo is not in any way responsible for any such use by you. You should carefully review the privacy statements and other terms of use of any linked third-party websites.
When you visit the Site or send e-mails to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by e-mail or by posting notices on this site. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically shall satisfy any legal requirement that such communications be in writing.
You acknowledge that PRC-Saltillo owns all right, title and interest, including without limitation all Intellectual Property Rights (as defined below), in and to the Site, and that you will not acquire any right, title, or interest in or to the Site except as expressly set forth in this Agreement. You will not modify, adapt, translate, prepare derivative works from, decompile, reverse engineer, disassemble or otherwise attempt to derive source code from the Site, software, or documentation, or create or attempt to create a substitute or similar service or product through use of or access to the Site or proprietary information related thereto. "Intellectual Property Rights" means any and all rights existing from time to time under patent law, copyright law, moral rights law, trade secret law, trademark law, unfair competition law, publicity rights law, privacy rights law, and any and all other proprietary rights, as well as, any and all applications, renewals, extensions, restorations and re-instatements thereof, now or hereafter in force and effect worldwide.
Your use of the Site shall be governed in all respects by the laws of the State of Ohio, without regard to choice of law provisions. You consent to the jurisdiction of the state and federal courts located in the State of Ohio (Common Pleas Court of Wayne County, Ohio or United States District Court for the Northern District of Ohio), for the resolution of any dispute arising hereunder. Any litigation shall be filed in the appropriate court of jurisdiction in the foregoing courts. Any cause of action or claim you may have with respect to the Site must be commenced within one year after the claim or cause of action arises. PRC-Saltillo’s failure to insist upon or enforce strict performance of any provision of these Terms of Use shall not be construed as a waiver of any provision or right.
